Vahaflix Agreement for Subscription Services

1. Introduction

THIS AGREEMENT CONSTITUTES A BINDING CONTRACT ON YOU AND Vahaflix, AND GOVERNS USE OF AND ACCESS TO Vahaflix SERVICES BY YOU, AGENTS AND END-USERS WHETHER IN CONNECTION WITH A PAID OR FREE TRIAL SUBSCRIPTION TO THE SERVICES.

Thanks for using Vahaflix (Vahaflix, “we”, “us”, “our”). By accepting this agreement, either by accessing or using a service, or authorizing or permitting any agent or end-user to access or use a service, you agree to be bound by this agreement. If you are entering into this agreement on behalf of a company, organization or another legal entity (an “entity”), you are agreeing to this agreement for that entity and representing to Vahaflix that you have the authority to bind such entity and its affiliates to this agreement, in which case the terms “subscriber”, “you”, “your” or a related term herein shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with this agreement, you must not accept this agreement and may not use any of the services.

2. Subscriptions

2.1 Based on subscriber’s needs to enjoy the services without interruption and automatically renew the subscriptions, when you subscribe to content, you irrevocably authorize us to automatically charge you for the next subscription period before the end of the current billing period, on a recurring basis. By providing your payment details in your payment account in conjunction with the subscription, you agree to this charge using such payment details. Subscriptions can be charged weekly, monthly, annually, or another period, and you may choose one of the billing periods provided by Vahaflix.

2.2 Subscriptions are automatically charged to your payment account before the beginning of each billing period. Subscriber shall be responsible for the failure of automatic renewal caused by the lack of balance in the payment account aforementioned.

2.3 The subscription content provided by Vahaflix for you can only be available for you to use in Vahaflix apps and on its affiliated platforms. Any malicious and illegal activities in order to separate the subscription content from its provider, Vahaflix, are not included in the services set forth in this Agreement. Vahaflix reserves the right to periodically verify that your use of the Vahaflix services complies with the agreement. Should Vahaflix discover that your use of a Vahaflix service is not in compliance with this agreement, Vahaflix reserves the right to charge you, and you hereby are liable for any damage or loss caused or alleged to be caused by or in connection with the said activities.

3. Rights and Duties of Both Parties

3.1 Vahaflix provides you with the methods of checking your auto-renewal subscription orders, but is not responsible for the delivery of the invoices to you.

3.2 When Vahaflix charges your aforementioned payment account for the next billing period successfully, Vahaflix will record the payment under your account and renew your subscription.

3.3 If there is an error in the charge process, Vahaflix and you should fully cooperate with each other to identify the cause and bear the losses caused by their own faults. If the losses are caused by the two parties unequally, the two parties shall bear the corresponding responsibilities according to the degree of fault. If losses are caused due to common faults between the two parties but they cannot distinguish their faults, the two parties share equal responsibility.

3.4 Vahaflix may change or modify the relevant service content, rules and terms of this agreement in accordance with its business development or technological upgrades, etc., and Vahaflix will notify the users of the relevant changes or modifications through publicity on the relevant pages of the application or website, e.g., we’ll provide you with prominent notice as appropriate under the circumstances, but is not liable for notifying users separately. If you do not agree with such changes, you may cancel your previously acquired service and terminate your use of Vahaflix. Your continued use of Vahaflix services after the changes have been made will constitute your acceptance of the changes.

3.5 You can choose whether to cancel the service or not. If you choose not to cancel, it is deemed that you agree to Vahaflix’s attempts to charge you for the next billing period in accordance with certain rules. Once the charge is successful, Vahaflix will renew your subscription for the next billing period.

3.6 If the service price changes before/at the time of automatic renewals, the current effective price shall prevail.

3.7 Vahaflix has the right to change the price for its services, and change the price and billing period for the paid subscriptions according to business needs or market changes, etc. and will notify you of any price changes through publicity on the relevant pages.

4. Term and Termination

4.1 This agreement will be effective after you choose to accept the agreement or use the service, and will terminate when you terminate the service or cancel the subscription.

4.2 You have the right to terminate the service at any time in the account settings. Vahaflix will stop providing the service for you after the termination.

4.3 If you cancel your payment or paid subscription and/or terminate any of the service before the end of the current subscription period, we will not refund any subscription fees already paid to us.

5. Liability for Breach of Agreement

If one party breaches the agreement, the other party has the right to obtain compensation through the dispute settlement method agreed by both parties.

6. Dispute Resolution and Governing Law

You and Vahaflix agree to use good faith efforts to resolve any dispute that relates to or arises in connection with the agreement. But if we do not reach an agreement to do so, either party shall have the right to submit the dispute to arbitration in Mumbai in accordance with Indian Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof for the time being in force. The arbitral award is final and binding upon both parties.
